Terms of Service for Pompeii Labs, Inc.

These Terms of Service ("Terms") govern your access to and use of the artificial-intelligence phone calling system and related services (the "Service") provided by Pompeii Labs, Inc. ("Pompeii Labs," "we," "us," or "our"), with its principal place of business at 55 Court Street, Suite 200, Boston, MA 02203. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Definitions

  • "Pompeii Labs" refers to Pompeii Labs, Inc. and its directors, officers, employees, agents, and affiliates.
  • "You" or "Your" refers to any user of the Service.

Description of Service

Pompeii Labs provides an artificial-intelligence phone calling system and related services (collectively, the "Service"). Your use of the Service is governed by these Terms.

Acceptance of Terms

By using the Service, you agree to these Terms in full. If you do not agree to all terms, you may not access or use the Service. These Terms supersede any prior agreements or understandings relating to the Service.

Modification of Terms

Pompeii Labs may modify these Terms, including the Privacy Policy and other incorporated policies, at any time and without prior notice. Continued use of the Service after changes constitutes acceptance of the new Terms.

Eligibility

You represent and warrant that you are at least 18 years old. If you are under 18, you may not use the Service.

Prohibited Uses

You may not use the Service for any unlawful purpose or in violation of applicable laws. Prohibited uses include, but are not limited to:

  • Criminal activities;
  • Malicious, fraudulent, or illegal purposes;
  • Infringement of Pompeii Labs' or third-party intellectual property rights;
  • Defamatory, harassing, abusive, or threatening use;
  • Distribution of unauthorized spam;
  • Transmission of viruses, malware, or other destructive code;
  • Gathering or transmitting personal information without consent;
  • Interference with Service functionality or security features.

User Content

You are solely responsible for any content you contribute, post, or transmit via the Service ("User Content"). You warrant that your User Content complies with Section 8 below. By submitting User Content, you grant Pompeii Labs a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, reproduce, modify, create derivative works of, publish, distribute, and sublicense your User Content in connection with the Service.

Acceptable Use Policy

You agree not to upload, post, host, or transmit any User Content that:

  • Is unlawful, harassing, defamatory, abusive, threatening, harmful, obscene, pornographic, or otherwise objectionable;
  • Encourages criminal conduct or provides instruction for illegal activities;
  • Infringes any third party's intellectual property or publicity rights;
  • Constitutes unauthorized spam or bulk communications;
  • Contains software viruses or malware;
  • Burdens infrastructure or degrades Service performance (e.g., denial-of-service attacks);
  • Attempts unauthorized access to other accounts, systems, or networks;
  • Uses automated means to access the Service not expressly permitted by Pompeii Labs;
  • Collects information about Service users without consent;
  • Impersonates any person or misrepresents your affiliation with any entity.

Pompeii Labs may remove content that violates this policy, and repeated violations may result in account termination.

User Account

To access certain features, you must register and create a user account. You agree to:

  • Provide accurate, current, and complete account information;
  • Maintain and promptly update your information;
  • Keep your login credentials confidential;
  • Be fully responsible for all activity under your account.

You may not select an inappropriate username or impersonate anyone.

Privacy Policy

Our Privacy Policy is incorporated into these Terms by reference. Please read it at https://nero.pompeiilabs.com/privacy before using the Service. It governs our collection and use of your information.

Ownership; Proprietary Rights

The Service is owned and operated by Pompeii Labs. All visual interfaces, graphics, design, systems, methods, information, computer code, software, services, "look and feel," organization, compilation of content, data, and all other elements of the Service ("Materials") are owned by Pompeii Labs and protected by U.S. and international intellectual property laws. All rights not expressly granted are reserved.

Feedback

If you provide Pompeii Labs with any feedback, suggestions, improvements, enhancements, or feature requests ("Feedback"), you assign to Pompeii Labs all right, title, and interest in that Feedback, including all intellectual property rights. Pompeii Labs may use and share any Feedback without restriction or compensation to you.

Indemnification

You agree to indemnify, defend, and hold harmless Pompeii Labs from any claims, damages, liabilities, losses, costs, and expenses (including attorneys' fees) arising out of (i) your use or misuse of the Service, (ii) your violation of these Terms, or (iii) your violation of any rights of another. Pompeii Labs may, at your expense, assume exclusive defense and control of any matter subject to indemnification by you. This obligation survives termination of these Terms.

Disclaimers

THE SERVICE AND MATERIALS ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, POMPEII LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. POMPEII LABS DOES NOT WARRANT THAT THE SERVICE OR MATERIALS ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE.

Limitation of Liability

POMPEII LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SERVICE. YOUR SOLE REMEDY IS TO STOP USING THE SERVICE. POMPEII LABS' MAXIMUM LIABILITY FOR ALL DAMAGES, LOSSES, AND CLAIMS, REGARDLESS OF BASIS, SHALL NOT EXCEED $100. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, liability is limited to the greatest extent permitted by law.

Termination

Pompeii Labs may suspend or terminate your access to the Service at any time, with or without cause, and without notice. Upon termination, your account will be deactivated, and you may lose access to all account content. Pompeii Labs will have no liability to you for any termination.

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. You agree that any dispute arising under these Terms will be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts.

Modification

Pompeii Labs may modify these Terms at any time. Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the changes, your sole remedy is to cease using the Service.

Miscellaneous

If any provision of these Terms is found unenforceable, the remainder will remain in full force and effect. These Terms do not create any agency, partnership, joint venture, or employment relationship. No third party is intended to be a beneficiary of these Terms. Pompeii Labs may assign its rights and obligations under these Terms.

Entire Agreement

These Terms, together with any documents they incorporate, constitute the entire agreement between you and Pompeii Labs regarding the Service.
